Welcome to Xilos Media Group (“Xilos”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our website, platform, APIs, and payment processing services (“Services”). By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, do not use the Services.

1. Eligibility

To use Xilos Media Group’s Services, you must be at least 18 years old and capable of forming a binding contract. By registering or using our Services, you represent and warrant that:

  • You are a legal resident or a legally registered business in the United States;
  • You have the authority to enter into this agreement on behalf of yourself or your business;
  • Your use of the Services does not violate any applicable laws or regulations.

2. Account Registration

To access our payment processing tools, you must create an account. You agree to:

  • Provide accurate and complete information during registration;
  • Keep your login credentials secure and confidential;
  • Notify us immediately of any unauthorized use of your account;
  • Be responsible for all activity conducted through your account.

We reserve the right to suspend or terminate your account if we suspect fraudulent, illegal, or abusive behavior.

3. Services

Xilos Media Group provides secure payment processing services, including:

  • Credit and debit card transaction handling
  • ACH and bank transfer support
  • Fraud prevention and risk analysis tools
  • Real-time transaction reporting

We may update or discontinue Services at any time with or without notice.

4. Fees and Payouts

You agree to pay all applicable fees as outlined in your merchant agreement. These fees may include:

  • Per-transaction fees
  • Chargeback fees
  • Monthly or annual service fees

Payouts will be made on a schedule defined in your onboarding documentation. Xilos reserves the right to withhold or delay payouts for risk management or regulatory compliance purposes.

5. Prohibited Activities

You agree not to use our Services for the following:

  • Illegal, fraudulent, or deceptive activities
  • Money laundering or terrorist financing
  • High-risk industries without prior approval
  • Pornography, gambling, or controlled substances (unless specifically approved)
  • Any activity that violates local, state, or federal law

Xilos reserves the right to terminate or suspend accounts engaged in prohibited activities.

6. Compliance and Verification

You agree to cooperate with all compliance requests, including Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures. This may include submitting:

  • Government-issued ID
  • Business licenses
  • Tax identification numbers
  • Bank account details

We may verify this information using third-party services. Failure to comply may result in account suspension or closure.

7. Data Security

Xilos is PCI-DSS compliant and employs industry-standard encryption and security protocols. While we strive to protect your information, you understand that no method of transmission over the Internet is 100% secure.

You are responsible for implementing appropriate security measures on your end, including securing customer data and complying with applicable data privacy laws (e.g., CCPA, GLBA).

8. Intellectual Property

All content, trademarks, logos, software, and technologies associated with the Xilos Media Group platform are the property of Xilos Media Group or its licensors. You may not copy, distribute, or use our intellectual property without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Xilos Media Group shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of revenue, profits, or data
  • Service interruptions or delays
  • Unauthorized access to or alteration of your transmissions or data

Our total liability under these Terms will not exceed the amount paid to us by you in the past 3 months.

10. Indemnification

You agree to indemnify, defend, and hold harmless Xilos Media Group and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of your:

  • Violation of these Terms
  • Use of the Services
  • Violation of any third-party rights or applicable laws

11. Termination

We may suspend or terminate your account or access to the Services at any time for any reason, including but not limited to:

  • Breach of these Terms
  • Engagement in prohibited activities
  • Failure to pay fees owed
  • Regulatory requirements

12. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top. Continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you disagree, you must stop using the Services.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of the United States of America, without regard to conflict of laws principles.

Any disputes shall be resolved through binding arbitration in the United States, in accordance with the rules of the American Arbitration Association. Both parties waive the right to a jury trial or to participate in a class action.

14. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Xilos Media Group.
  • Severability: If any part of these Terms is found to be unenforceable, the rest will remain in effect.
  • No Waiver: Failure to enforce any part of these Terms does not waive our right to enforce them later.
